LEGAL NOTICE

PUBLIC NOTICE IS HEREBY GIVEN that at the time and place set forth below the New York State Housing Finance Agency (the “Agency”) will conduct a public hearing for the purpose of giving interested parties an opportunity to be heard on the Battery Park City 19B Project, located in Lower Manhattan (the “Project”), and the proposed issuance by the Agency of tax-exempt bonds ("Bonds") for the Project in an estimated amount not to exceed $115,000,000. The Bonds may be issued in one or more series from time to time pursuant to a plan of financing. Proceeds of the Bonds are expected to be used by the Agency to make a loan to fi­nance a portion of the cost of acquisition and construction of the Project.

The Project is a multi-family residential rental project, which is located on the southwest corner of Warren Street and North End Avenue in Lower Manhattan and is being developed as part of Battery Park City North. The Project is expected to consist of the construction of an approximately twenty-four story building containing approximately 264 residential units. It is expected that the Project will include approximately 6,000 square feet of retail space and approximately 12,700 square feet of below-grade parking. It is anticipated that the Project will be owned by BPC Green, L.L.C. or another single asset entity controlled by The Related Companies, L.P. The total estimated cost of the Project is approximately $119,500,000. A public hearing with respect to the proposed issuance of Bonds will be held at the offices of the New York State Housing Finance Agency, 641 Lexington Avenue, 4th Floor, New York, New York 10022, on Tuesday, June 25, 2002, at 7:00 p.m.

For the convenience of interested persons, Project descriptive material will be available for inspection by appointment during the hours between 9:00 A.M. and 5:00 P.M. at the Agency located at 641 Lexington Avenue, New York, New York. Materials. relating to the Project will also be available for inspection one hour prior to the hearing at the hearing location.

The Bonds may be issued in one or more series from time to time pursuant to a plan of financing. Proceeds of the Bonds are expected to be used by the Agency to make a loan to finance a portion of the cost of acquisition and construction of the Project.

The Project is a multi-family residential rental project, which is located at 10 Liberty Street at the southeast corner of Liberty Street and William Street in the financial district of Manhattan, New York. The Project is expected to consist of the construction of an approximately forty-two-story building containing approximately 287 residential units. It is expected that the Project will include approximately 6,000 square feet of retail space and 200-car parking garage. It is anticipated that the Project will be owned by Liberty Street Realty LLC or another entity controlled by Leonard Litwin ("Owner"). The total estimated cost of the Project is approximately $130,000,000. A public hearing with respect to the proposed issuance of Bonds will be held at the offices of the New York State Housing Finance Agency, 641 Lexington Avenue, 4th Floor, New York, New York 10022, on Tuesday, June 25, 2002, at 7:00 p.m.
